jdogga - have you had a chance to check your permissions on the folder and files?

Take a look at whatever folder these files are in - check the security properties and see if the SYSTEM user has full access, and also look to see if there are any unknown user ids in there. Remember, if SYSTEM isn't in there, when you add it and give it full access, make sure to propagate the changes to all subfiles and subfolders.
Holy crap in a basket, you guys fixed it... it was a permissions issue.
I granted System to the software folder and pushed it down to all files/folders, and the install went fine!!

update for me: ImageResizer (the one jdogga posted) works flawlessly.
I had also downloaded ESET Antivirus and (.msi as well) and that worked.
Only problem seems to be the ESET Smart Security.

here is how it looks like:
Imageshack - error2d

Problem solved as well!
Downloaded the file through Mozilla Firefox rather than Google Chrome and it worked.
I guess there was something wrong with the installation through Chrome.
Thanks everyone for all your help.
