Do you mean a snipping tool where you can add comments, arrows, etc.? If that is it, use this ( A+ Freeware - Multimedia & Design - FastStone Capture 5.3 (last freeware version) ).

i like to keep my task bar clean , if some one create a gadget it will be nice if the gadget have a transparency mode , with a nice graphic

why not just assign a hot key? Its what we all do. many ppl use control F5. so to summon snip just CTRL F5 and snip

Yup - hotkey. I use CTRL + ALT + Z (they're located pretty close to each other so I can start it using one hand).
