Leads me to believe it is your cpu, Xeon processors are typically for servers, i may not be correct on this diagnostic but it could be the culprit, do you have any problems in other games?
I think it's my video card because I can add like 200 bots in Battlefield 2 and works fine, only has problems in high graphics games like the newer need for speed and Star Wars Empire at war
One thing which catches my eyes, you mentioned that you are able to run NFS MW (2012) smoothly and the other 2 are not so good. Need For Speed Undercover and Shift 2 are older than NFS most wanted. If you have access to your friend's PC. Try to run the Need For Speed Undercover and Shift 2 in that PC and check, if they are running fine or not. Game can be the culprit as well.

RAM 2 GB. It runs Need for Speed Undercover okay, a lot better than my Precision
but I can't run Need for Speed Shift 2 on.it either
Change your resolution. Using 800 x 600 makes high use of the CPU and less of the GPU, use the monitors native resolution.
look for new patches for these games on net & also try to run them in windows xp SP3 compatibility mode !!
