Well, an update!

I sent the PSU back for RMA and haven't hears anything yet. In the meantime I can't be without the PC so I bought a new one as well.

I bought the same model because I got a good deal...

Plugged it in today, SAME PROBLEM! OCZ, you're really not impressing me here!

Well maybe its not a fault and just an incompatibility issue. The voltage drop required to signal the motherboard to turn off might be say 0.05v more than normal PSUs or something.

Personally I'd only ever get corsair or coolermaster power supplies

A 'problem' with PSUs usually results in random shut downs. In window's lingo, this is classified as a 'system failure'.
When a system failure occurs, the default in windows is to "Restart". So, if we change that default command for the system to stay off - we would know why it Restarts.

Click 'Start' - Right click on 'Computer' and open 'Properties'.
Click on 'Advanced system settings', look in the last pane (Startup and Recovery) and click on 'Settings ...'
In the 'System failure' pane - clear the Automatically restart checkmark. Shut down computer. Does it stay off?
If it does, we have to find out from the system's log - what it considers a system failure.

Secondly, were you in the process of updating win7 (online) when shutdown and restart occured?
