A quick search on download.com for a software that can do conversion of scanned jpeg to ms word format as required by you, gave me this software: JPEG to Word Converter - Free download and software reviews - CNET Download.com

Can you try and let me know if it worked?

You may scan the form in to a Jpg and insert this image in to a new word document, enlarge the form to fill the page, and then format the image in layout tab to send the image behind the text. Now using the forms toolbar, you may insert the text fields, wherever necessary and save the file. To enter text on the form field, click on the field and enter text and save the file.

Another solution would be to directly scan in to Adobe Acrobat 9 to create a PDF and then use the optional program Adobe Live Cycle Designer ES (bundled with Acrobat 9 Professional) to add form fields to this PDF file.
This is an older post and Acrobat 9 hadn't reached EOL (End Of Life) at the time it was written. It has since then. Acrobat XI is the current version.
