Can't replace shell32.dll manually, while installing third party theme

I want to replace original shell32.dll with a custom one to fully enable a third party theme but While replacing original shell32.dll ,windows pop-up says "The action can't be completed because the folder or a file in it is open in another program" though I’ve taken ownership of the file and closed all programs.(please see the screenshot, if you don't understand my problem). Please someone help me............

But the system 32 folder is in the Windows core. Are you certain you know exactly what you are doing here? What backup have you saved in case things go wrong? Unless you a very experienced I would not recommend this action!

If you want to replace shell32.dll, first you must Backup Complete Computer - Create an Image Backup , then try using System File Replacer by ~xuliikoo on deviantART .
