What "files" do you want to transfer? If you are talking about the Operating System, the OEM Windows that comes with a new PC is only legally licensed for the PC it was delivered with(installed on).

Yes, you can transfer files between the two computers, the 32-bit and 64-bit don't matter. You can even transfer data you created between different versions of the Operating Systems but the key in using that data is having compatible programs installed that can use the files.

The two types of OS can matter when installing some programs, 64-bit versions can't be installed on a 32-bit computer.

Easiest way to transfer is with a USB "flash drive" (memory stick). Copy the files to the USB drive and then take it to the other PC and copy them to that PC's hard drive. Depending on the size of the files, you could also do that by burning them to a disc.
