Installed Windows 7 ultimate 32bit driver problem

ok, so i upgraded my computer from windows xp pro 32bit to windows 7 ultimate 32bit i downloaded all of the needed drivers like wireless internet driver and vga driver, then i downloaded the sound driver and i have a big problem

    took a screenshot:

    and it says this:
This device cannot find enough free resources that it can use. (Code 12)

If you want to use this device, you will need to disable one of the other devices on this system.

Is this and upgrade install or a clean install? Have you installed all the MS updates?

Just right click the driver and use compatibility mode for Vista 32.
