With regards to your query, For $319.99 you get the full version of Windows 7 Ultimate.
Whereas $219.99 you get the upgrade version for Windows Vista to Windows 7 Ultimate.
So the basic difference is if you are going for $219.99 version then you must already have windows Vista installed on your PC. Find out if you really need the feature that Ultimate comes with. That's alot of money to spend if you don't need the functionality. I think too many people think that Windows 7 Ultimate is far superior because it has Ultimate in the name. Yeah, most people are just fine on Home Premium. I think most people on Ultimate either 1). Got it free like me 2) Pirated it, and if you get a pirated version, chances are it would be the highest version possible 3). Bought it simply because it sounded more impressive 4). I bought the Windows 7 Home Premium Upgrade (retail) when I rebuilt/upgraded my box. The Home Premium Upgrade works fine for upgrading from XP or Vista per Microsoft, they're wanting to move users from XP to 7. It was priced at $89 along with a $10 off coupon from Newegg total cost $79. I'm very happy with Windows 7, I chose to use the 64 bit version, you get both 32 and 64 bit CD's but you can only use one version with the product key.

Well i'm thinking of building my own so I wouldn't have a OS to upgrade from. But I do think home premium will work but obviously it doesn't sound as good as ultimate does.
