Try taking out some of your RAM and attempt to do it again...many people have issues installing 7 with more than one or two sticks of RAM. It is a bizzare problem and not everyone knows exactly why it occurs

Zidane has given you a very good answer. In case that advice does not work, you can use plan 2. Make sure that your computer has the specs to accept Windows 7. Do a clean install rather than an upgrade. Do not put your key number when asked, do that after installation. When done, try it for a few days, before you give your number. You have 30 days

Are you upgrading 64 bit to a 64 bit. You cannot upgrade from a 32 to a 64

We have seen several issues with Asus MOBOs.

This error code is usually due to the graphics card or memory.

Check Device Manager for any yellow triangles.
Let us know which device if you find one.

Have you installed the latest bios update?
Check the Asus website for a newer version.

Also check for an updated graphics card driver.

Any Over Clocking of the RAM, CPU or GPU?
Reset to defaults.

Run a memory test. I would definitely do this test, 4 - 5 times.
Memory Diagnostics Tool
Memtest86

Let us know what you find.
