ending up using this... http://www.any-video-converter.com/p...or_video_free/
No file size limiter, but I can do the math math with this WMV Bitrate Calculator
The quality of the h.264 is outstanding with this program...
1st Screen H.264 @ 5840kpbs using windows movie maker live. converter
2nd Screen H.264 @ 3000kpbs any video converter
WHAT A DIFFERENCE! MICROSOFT Stinks!

Just like to throw in a update...
Handbrake finally realeased a new version 0.94 which fixed all previous problem I was having with the program! (no more video stutter issues or audio issues) !!!
+ it has a file size limiter! and 2 pass option!
So I will be using handbrake since the quality levels are higher quality than every other program Ive ever used... : ) | My System Specs | | System Manufacturer/Model Number Custom Build OS Windows 7 Ultimate (64-bit) Build 7600 RTM CPU Intel Core I7 920 Motherboard GA-EX58-UD3R Rev 1 F11 Bios Memory 8 GB Corsair DDR3 @ 1600mhz Graphics Card XFX GTX 285 Sound Card Integrated Realtek Monitor(s) Displays Dell 19inch @ 75hz Screen Resolution 1440x900 Keyboard MX™ 3000 Laser Mouse Dell PSU OCZ Extreme Modular 700W Case Antec 1200 Cooling Coolermaster V8 Hard Drives 2 WD 500G Hardrives in RAID 0 (1TB) Internet Speed Cable 15mbps Download 2mbps Upload Video Converter Reccomendation... problems?
