I have a retail version of Windows 7 Home Premium x64 installed and I purchased a Windows 7 Professional x64 Anytime Upgrade with a new COA.
My question is does my COA from Home Premium now become availble to use on another PC? I mean legally...
So I purchased Home Premium for $100 if I remember right. Then I purchased the upgrade to Pro for another $90 and both COA's are taken. That does not seem right. What a rip off.
Think about it, you bought an upgrade so your Home Premium version was used to upgrade to Pro, you already had Home Premium installed so using the upgrade to Pro just added a few extra features.
Well that's my take on it but of course I could be wrong.

IMO it IS a rip off since Pro only allows a few minimal features that you might never use :
1) can run XP mode -- IMO there are better ways to run XP Virtual machines on ANY version of Windows - but there you are.
2) Can change the display language ONCE - you can't change it back again !! -- NOTE YOU CAN'T INSTALL LANGUGE PACKS however
3) Machine can be controlled and accessed remotely via RDP.
There might be some others but these are the only ones and the extra 90 USD for the package IMO isn't worth it.
If I was going the upgrade route I'd switch to Ultimate -- in my case I NEED the language packs for installing and testing in a few different Languages plus some other security bits and pieces.
Things like Home networking / backing up to a network etc you can do easily enough on ANY version of Windows if you want to so those features are relatively pointless to spend EXTRA money on.
Working in a language of your choice AND being able to remotely access the machine are the features I need otherwise I would have stayed with Home premium.

Your upgrade component should be portable just as the home premium is portable. That is if you downgrade back to Home Premium you should be able to reuse the upgrade on another PC. So maybe it's fair in that sense.
I was annoyed recently that you need Prof or above to access some basic network capabilities such as the secpol.msc snap in.
I purchased and used a Windows Professional Anytime Upgrade product key for my Dell Windows 7 HP.
I later bought an HP Pavilion desktop with Windows 7 HP, did a factory restore on the Dell to release the upgrade product key, and then used the same product key to upgrade the HP Pavilion.
I used the automated telephone system to activate the upgrade, which it did without any problem.
So it would seem the Windows Anytime Upgrade product key is transferable to another computer providing it is removed from the old computer first.
