According to Post # 5 by gregrocker in a previous Forum thread, you cannot upgrade from a 32-bit OS to a 64-bit OS. It must be a clean install. However, the same Product Key can be used for either the 32-bit OS or the 64-bit OS if they are the same version (Pro to Pro, Ultimate to Ultimate, but not Pro to Ultimate.)

Use 32-bit product key for 64-bit Windows 7?

^100% correct. Unfortunately, you must do a clean install of Windows 7 to go from 32 to 64 bit.

There shouldn't be any issue because it's the same OS just a different bit-ness. But if it doesn't activate you will have an option to use the telephone activation method.
