The only other piece of info I can give you about the ram is that when I do place the sticks in different spots, memtest will last longer than others, but when I go back to the same stick and slot, I will not have the same result. For instance I can get a stick to go through one pass, but the next time I use the same stick in the same slot, it might only go 2 minutes before it freezes... like I said, it is very random!

I see.. well that narrows our options!

Let me see if i can talk with some of the BSOD guys and tell them about this, for they to check your dump files and give you any directions to follow

I'm still leaning towards a Motherboard problem but i need a second opinion hehe

Yes.
Your memory should meet the following requirements:
Intel® Desktop Board DP45SG — System memory for DP45SG

A last resort may be a BIOS update, if you don't have the latest BIOS already.

Yeah... that was kind of what I was thinking. I have already updated the bios. I just wanted to be sure before I spent the money on a new motherboard. Thanks for the help!

I'd suggest before spending any money, try to find a friend/neighbor or related ones that could borrow you a motherboard that they're not using. or ask them to let you try your RAM modules on their rigs to do some testing.

Nobody wants to see you spend 60$ in vain

Update...

I installed a new motherboard (MSI P43-C51) and after 3 straight days of testing, pushing and re-testing there are no problems . It looks like the problem was indeed a bad motherboard.
