    The second one would probably be a better choice, even though they are both good computers. They should perform very similarly, although windows 7 would perform better than vista

    The first thing I will do is installing 7 ultimate 64bit so don't look at the OS

    But Im not looking for a laptop for games, only movies and school. So I have more need for the ram than the cpu right?

    Well, yes and no. You need a good processor in the mix with your ram, or else you're not going to notice much of a difference.
    This Laptop would be good for what you need, especially since it has the 4 GB of DDR3 ram, and yes the processor is a Pentium Dual Core, but it's not a bad processor. It'll be decent enough for what you need it for.
    It can also play games if you wanted it to.
