Will this be like the XP > Vista upgrade where I have to pay an extra (and excessive) S&H to get the 64 bit version ??
No, buy the windows 7 disk, they send you both the 32 and 64 bit version. An MS rep himself told me yesterday when I was calling to confirm other details about the 7 release

Thank for the info.
I was also worrying about not being able to upgrade Vista-32 to W7-64 ..
or XP-32 to W7-64.
Since I was able to go both ways for my XP 32 > Vista upgrade ..
I assume this will not be a problem.

With XP, upgrading path is a clean install of 7, and in that case, you can go from Xp 32 to W764. This was expained to me by a MS rep too
Idk if the same applies for Vista

You can't upgrade a 32 bit OS to a 64 bit OS only 32 > 32 and 64 > 64.

He can go from 32 XP to 64 W7, because a clean install must take place during the upgrade process. The MS rep told me this on the phone, and he double checked to make sure it was correct

Technically that is a clean install not an upgrade so it does not matter what you had before.

Yeah, I was assuming by saying upgrade he meant using the upgrade disk, and not necessarily an in-place-upgrade. Because "upgrading" XP requires a clean install, when using the upgrade disk. So the 32bit vs 64bit is only restricted if you are doing an in-place-upgrade, which you can do with vista. But even with vista I would recommend a clean install anyway

Well you can use the upgrade disc with any or no OS at all if you want to do a clean install, but if you wish to "upgrade" from 32 bit vista you can't go to 64 bit windows 7.
