When you buy an OS DVD or a computer with a preinstalled OS you do not own the OS but are granted a right to use it. And the owner of the OS (in this case Microsoft) has the right to impose reasonable restrictions on how the OS will be used. The right to use the OS is represented by the key, typically printed on the computer case.

This situation is by no means unique to Microsoft but is pretty much universal to all commercial software.

If they had wished to do so an OEM could provide a full retail copy of the OS and all of it's rights when they sold a computer. But this would be a considerably higher cost which the OEM would have to pass on to the buyer. In todays highly competitive market that would be difficult to justify. An OEM trying this would probably be end up out of business.

So an OEM makes a deal with Microsoft for a copy of the OS at a substantially lower cost but one with more restrictions. The primary restriction being that the OS is tied to the computer on which it is sold. It cannot be transferred to a different computer, even if the original is no longer in service. Considering the lower cost it seems a reasonable restriction.
