Windows XP is no longer supported by Microsoft. This is a Windows 7 Forum and I would suggest that you upgrade to Windows 7 or 8!

I see you do have Windows 7 and you're looking for help for one of your older machines, while what mitchell65 says is true about upgrading it's hard to let go of an old friend. I too have an XP machine that I'll eventually have to upgrade.
There can be many reasons from software to hardware why a machine won't shutdown, it could even be the power switch button on the machine that turns the machine on or off is bad from a broken wire to just being plain worn out.
You could try restarting and tapping the F8 Key to: How to start your computer by using the Last Known Good Configuration feature in Windows XP Then try to shutdown the machine after it reaches the desktop.
If you have been having this problem for a while you may want to consider doing a check disk and a SFC /scannow, that in of itself *may* be causing the shutdown problems because of corrupted sectors and/or files.

Look about two thirds of the way down the page for "Power-Down Issues" if you're trying to power down the machine.
If you do a search for * windows xp system is not shutting down * you will find a lot of helpful information, the first two on my search were support KB's from Microsoft.
