I try a new install after i delete the files but it still doesnt workI've attached the log that you sent via megaupload so that others can read it and help us (I had to zip it up to attach it here).
After you delete the temp files and reinstall, if the issue still occurs, please also upload the dd_setuputility.txt
(you'd think that MS would put all these logs in one place no?)

No mate, it shouldn't be an issue, I have GTA on another box with .NET4 and it works. GTA keeps me sane. :)
But you have reminded me of something!!!!!!!!
On a virtual Machine running XP, I installed Visual Studio 2010, it failed on the .net 4 install on my first attempt. So I removed everything with the windows cleanup utility and then installed .NET 4 first, then installed the Visual Studio second and it worked. Because my first solution fixed it and it was a different OS, I never connected it to your issue. So it's worthwhile giving it a go.

So you advise me to uninstall all versions of Framework with cleanup_tool.exe and reinstall Framework 4.0 first then 2.0, do I understand?

Sorry Stovan, I've been out all day and yes you can use that solution. If the reg file doesn't work I'll post you a batch file that I wrote that fixes a few common issues with windows installer.
