I had 2 audio devices installed and the ATI high definition audio had "error" as the status under sys info. disabled it. so far no issues

Well it started to do it as soon as i cranked up the fan speed on my gpu from stock to 39%. So maybe it is a voltage problem

I know you tried lots of things so I am just trying small things, It definitely sounds as if you haven't got all your drivers and chipset drivers installed, your Bios looks as if it is the latest, just try this place,
it has helped a lot of people that thought they had all their drivers.

Go here and follow the instructions, automatically install the Plugin, when it's in run the Start the Detection,
When it’s finished click the Download Drivers Compatible for this Configuration, and install anything that it finds.

I am now overclocking my card, b.c. i got rid of my faulty piece of ram. It does not crash anymore. and runs smoother and cpu temps cooler. i am using MSI afterburner. I have only overclocked it about about 17 core clock and 25 mem clock

Ok it was just worth a shot to see if it was a missing driver, pity it wasn't it would have been
    that muuch easier to fix.

Well I would recommend that you don't Overclock the card until you get it sorted out.
