Did you use 64bit pre Win 7 successfully?
If not go back to 32bit & see if it all works on 7.

Prob need bios update to enable some stuff properly (or it is hidden in advanced bios settings)

Well my xp was a 32bit, I don't know how to change it back. Unless you mean install xp again. Also I checked and there are no BIOS updates.

There are two discs in the box 32bit & 64bit Windows 7

If you downloaded the 64bit version - I am sure you are allowed to download the 32bit version and install with your key if you can't get 64bit working.

An MS rep might reply to this thread and let you know!

Theres more, it fixed my audio problem and intel problems in device manager, it ALSO picked up on my PCI network adapter I had in there which it turns out with my new graphics card isnt getting picked up either.
Sounds like a bad video card or some type of conflict. Since this is a new video card I'd look at swapping it first. If the replaced video card displays the same symptoms, then it is more likely a conflict.

Also, If possible, can you switch move the sound card to another pci slot... or move the video card to another slot?

Lastly.... What drivers are you trying for your 4350? Look here - AMD Support Search

As to this...

It's always advisable to use the Windows 7 Upgrade Advisor "prior" to doing any upgrades.

As for "newer" video cards being compatible with Windows, that issue belongs to the video card manufacturer, in this case ATI. However I can assure you that the card is compatible with Windows 7.

Again, look at that video card.

Good luck.
