Freezing up sounds like an old IRQ or DMA issue to me. Interrupt Requests and Direct Memory Addressing, something that since XP has been mainly a non-issue.
Along those lines, if your BIOS let's you specify IRQ's I'd put them to the lowest numbers (not all the same) and see if it helps. Reaching, I know...

On the plus side: You can upgrade that slow E5200 to much better CPUs also.
Ouch, got me looking at my own, wondering how much better Quads are in Win7 64-bit than my E8400.

I have a Gigabyte mb too (GA-P35-DS3L), this had me checking mine for a bios update, Gigabyte has that @BIOS utility, at least in XP it worked fine for me.
[I had latest, unchanged since 6/19/09.]

Faladu, I'm very slow when it comes to bios and I'm not sure if it has anything on IRQ's... And also I updated with the same program.

Good morning Matey, I viewed the video and I beleive your MOBO is needing the chipset update. Let me search around and I'll be back in a few.

Update chipset

Good morning Smile!
I want you to update your MOBO chipset, this is not a bios flash but an install.
Use the administrator option when you finish the download .
