Windows 7 stuck at welcome screen after installing VGA card + modem

Hi I have a desktop with motherboard G41, 8GB RAM, 1TB HD, Nvidia Geforce 4GB graphics card, and Agere dial up modem.

When dial up modem is installed along with the Nvidia Geforece graphics card at the same time, Windows 7 64 bit won't go past welcome screen, but will load without a problem in safe mode. when checking the widows event log, I get the following error message "The Computer Browser service depends on the Server service which failed to start because of the following error:
The dependency service or group failed to start. code 7001"
If I unplug either the graphics Card or the dial up modem, windows will load properly without any problem. Tried to load Windows with clean boot with no avail.

Any help please.

In witch slot are the Nvidia Geforce 4GB card and the Agere dial up modem?
Try to install the modem on another PCI slot as some PCI slots share the same IRQ.

I tried to plug the Agere modem to an other PCI slot but I am still having the same problem
