Windows 7: Upgrading CPU and MOBO

Windows 7 home premium 64 bit

I am thinking about using sysprep so I won't have to go through and reinstall everything individually. i read the link posted by gregrocker. I know I will have to activate windows 7 by phone because i have the preinstalled windows 7 with no installation DVD. will I have to reactivate my antivirus software and other programs I have or will it just transfer to the new system happily. :/
