The Upgrade kits shipped by manufacturers were required by MS to have a clean copy DVD of Win7 in addition to the Drivers/Apps disk for specific model.

The fulfillers use MS software to scan the license key sticker attached to each Upgrade kit DVD to the machine's S/N which then locks it to the Vista OEM on the mobo.

You can use the installer for other installations but only that machine can be activated by the key provided.

Suggest you not waste the $100+ license but reinstall using the Home Premium Upgrade kit DVD, unless you need the bitlocker only in Ultimate. Then you have the retail Ultimate to migrate as you wish for life, while your laptop has it's Premium.

There's a popular workaround if you want to change your Ultimate to Premium without having to clean reinstall; just activate using the new key afterward at Computer>Properties.

Keep the Upgrade Kit because it adds value to the laptop should you ever sell it and want to keep your Ultimate, or want to move your Ultimate to another machine and keep Win7 on your laptop.
