Try installing chipset drivers from your mobo's Support Downloads webpage.

Did you scan your HD with Seatools CD?

K well just so everyone knows I found the problem finally about installing windows 7 and it took alot of time and the right person to find the problem thank god !!!!!!!!!!!!!!!!! If anyone else is having the same problem as me check your POWER SUPPLY trust me I never thought of it in a million years but that was my problem it wasn't giving enough amps so the cd rom would shut down and so thats why I would get that error code so I hope that helps anyone else in the same situation as me.....and again thanks to everyone who tried to help much appreciated........cheers!!!!!!!!!!!!!!!!

Boo - How did you find out it was your Power Supply? What did they use to determine that?

Thanks for following up so we can help others.

I've seen this power problem if you upgrade your Video card to one that supports DirectX 9 or or later for Windows 7 Aero and not upgrading the power supply at the same time.
