Yes. More often than not we need only one subtitle and when it is a foreign language film we don't mind the subtitle being part of the frame and always on. :)
Ok good news. I got the .mkv to be converted to a .avi with the subtitles using Format Factory. The only downside is that the text of the subtitles has a random font size.... and that result was with the default setings for the subtitles. so I'm currently reformatting the .mkv but with the subtitle text size to a new size, rather that just default. so lets see what happens in a bit.
Ok so after setting the subtitle text size to 3 (4 being the default) the resulting .mp4 file (rather than .avi like the fist time) had subtitles with consistent text size! so I have succefully reformatted a .mkv to a .mp4 file.

Why convert at all?
If you just want to move from MKV to MP4, just use MKV merge to Demux all tracks.
Then, use MP4box or a MP4box GUI such as YAMB, to re-mux the Audio, Video, Subs into a MP4 conatiner.
No recoding needed, and takes about 2 minutes.

Be intersted in knowing though, for curiosty sake if nothing else. :)
