    Found the problem!
    I extracted all the dll files of the Windows update agent installer 'WU 3.0' available for download from microsoft website.

    Then I copied them in system32 folder: i did not overwrite those that were already existing but three dll's were missing:
    cdm.dll
    wuauserv.dll
    wuweb.dll

    then i regsvr32'ed them and it worked!

Hello again, I noticed in 7 that there is only Windows update. I didn't see Microsoft update. I have Office 2010 and wondered if I need to update that separately? Are they as one now? Thanks, John
