    Found the problem!
    I extracted all the dll files of the Windows update agent installer 'WU 3.0' available for download from microsoft website.

    Then I copied them in system32 folder: i did not overwrite those that were already existing but three dll's were missing:
    cdm.dll
    wuauserv.dll
    wuweb.dll

    then i regsvr32'ed them and it worked!
