Any help would be greatly appreciated.

I managed to find where pleasewait.exe was located, and it was within the directory C:\Windows Activation Technologies

There is also a process called "wat.exe" running which is located within the directory.

I had the same problem and was able to solve it by using the free autoruns utility from Microsoft to find and disable the key that was accessing the WAT file identified by the OP.

What does that tell you? pleasewait.exe is part of a windows activation program called 'KJ Activator' that came out back around 2010. It also has the ability to activate torrent copies of Office 2010. Just so you have an idea on how many times Microsoft tests for genuine software, you'll see the pleasewait.exe on your screen. So they [Microsoft] must check the OS once a week or so. Or like every 4th or 5th bootup, even with kb971033 uninstalled....BTW, That was one of the big reasons Microsoft offered Windows 8 for free & now Windows 10 for free, or was free, one per IP address if I remember right.
According to Microsoft, 26% of Windows 7 worldwide was counterfeit. Although mostly China, the US & Europe has their fair share, So why not give Windows 8 & 10 away. They figured most of the DL's were by hack copy owners anyway....
Since I have mostly Dell & HP laptops, I buy new software & unused COA Stickers. They're OEM BTW, not Upgrade. Last year I purchased a couple Samsung & someone at the computer store where I bought them from decided to install 32bit OS's when a 64bit COA on the bottom of those laptop's. So Samsung sent me a new Windows Disc, [Samsung Branded] so I formatted the HDD's & installed the correct OS. I found a 3rd Samsung on an auction site & used the driver/application disc that came with it & installed all the correct software. It's better to try & stay legit instead of screwing around with those junk activation apps.
