If the COA was not broken then it must be a legitamate key from MS?
Download & Run Microsoft's MGADiag Tool
And copy the results given in between wrap code tags.
Maybe there will be something in there showing what is happening or causing this non-genuine problem. (file mismatches, etc) which can trigger the activation system off.
Agreed - MGADiag is your best bet right now. From your description of the DVD it does sound like it could be a good fake (I've seen a few that looked like the real thing, until you start comparing the discs side-by-side to a real hologramed disc). Microsoft updates keys only when they suspect piracy, so if you purchased these before they would likely have activated for a short time.
The packaging should have had both 32 and 64bit DVDs if it was legit retail or retail OEM packaging, come in a black Windows 7 ultimate box (sealed), have a hologramed outer ring with wavy edges (not a sticker - the DVD itself should be stamped with the hologram and wavy edges), a black inner disc sticker showing Windows 7 Ultimate and Microsoft copyrights, as well as a COA sticker with security strips to the left that are also hologramed. If you got anything that differs from the description above (you can also check here), you have a fake. I've not seen any sales of legitimate Windows 7 on ebay that were much cheaper than volume retail pricing, so depending on what you paid you can also likely figure whether you were scammed or not.
@ Doc It could have been caused by windows updates as i rebooted the computer and installed all the important updates it suggested.

@cluberti it meets all the criteria you set out above to be a legitamate copy. Both 32 and 64 bit disks and described as you have stated it should be. Paid £90

Yes, and I see why it's failing - KB971033 is installed, and it appears it thinks that the Windows activation files are incorrect:
If you run sfc /scannow you should be able to fix these files (you may have to install 971033 again). I did install windows 7 offline it was the first thing i had to do after rebooting the computer.Im pretty sure when i entered the product key it didnt activate. When i restart the computer having installed win 7 it automatically updates. how do i reinstall the OS without rebooting the computer

Just try reinstalling that update, and then runniing sfc /scannow from within the OS to see if you can fix it without resorting to a full reinstall.
