    In that case I can only say that you need to talk to MS Windows Support - where you may be able to get free remote assistance - as I'm out of ideas.

    please post an MGADiag report - it may give some indication of errors (although I doubt it )
    we need to see a full copy of the report produced by the MGADiag tool
    (download and save to desktop - http://go.microsoft.com/fwlink/?linkid=52012 )
    Once saved, run the tool.
    Click on the Continue button, which will produce the report.
    To copy the report to your response, click on the Copy button in the tool (ignore any error messages at this point), and then paste (using either r-click/Paste, or Ctrl+V ) into your response.

    this might sound funny...


    I am new but, does the pc have a modem plugged into the mobo? remove it. go into ur bios and turn everything to the basic settings, & try again...

    mobo? and its not.

    should i try reinstalling the sp1? because that's the only suggestion i have not tried.

    There's no indication of any problems in the report - but it does indicate that the system has never been validated, which I understood was part ot the Anytime Upgrade procedure.

    Please go to www.microsoft.com/genuine/validate and see what happens - you'll be asked to install a couple of programs ( the WAT Update, and an ActiveX control)
    once complete, if it passes, you'll be offered MSE and IE9 (don't bother for the moment) - try a reboot and the Upgrade again.

    If validation fails, come back with the error message and a new MGADiag report.

    Ahah!
    That's likely the whole problem then.
    The error message inidcates an inability to contact the MS server.
    Open Internet Options - go to the Security tab, and click on 'Reset all zones to default level' button - click Apply
    Go to the Advanced tab, click on teh Restore Advanced Settings butoon - click Apply and OK

    Please open an Elevated Command Prompt, and run the following command


    NETSH WINSOCK RESET

    reboot, and try validation again - note the error message and post back, if any

    If that passes, then reboot and test the Upgrade.
