A question about Windows 7 installation disk

I have an upgrade disk of Windows 7 Home Premium that I purchased for my old PC when 7 first came out. My question is this. Is the product key for the upgrade version transferrable to another computer as long as I don't have it installed on my old computer anymore? I know that OEM is tied to the motherboard of the computer it is installed on, but I'm not sure about the upgrade version.

The upgrade version can be transfered as you suggest as long a a qualifing version of Windows is installed on the computer you are transfering to or you have a qualifing version.

Thanks for your reply. I thought that might be the case, but I wasn't sure. What I am thinking about doing is installing a new motherboard in my PC and the version of Windows 7 currently installed on said PC is OEM, so legally it might not be transferable. But I have downloaded a Windows 7 Home Premium iso and would use the product key from the upgrade version to activate Windows once it is installed with the new MB.
