Cant install Driver files in Sys32 folder

I'm new to these forums and could use some help. I have a MIDI Keyboard Controller (AKAI MPK25) for music production. The Win7 Midi drivers lockup every 25minutes or so forcing me to shut down my software and restart. The Company sent me a Zip file containing some drivers to overwrite the files in the System 32 folder. However, I keep getting access denied error when trying to overwrite the files in the System32 folder. Ive access the administrator account on WIn7 and tried changing the permissions and all i get is "Access Denied" Can anybody inform me how to add these files? Thank you.

Your best bet is to start in http://www.sevenforums.com/tutorials/69585-safe-mode.html when using http://www.sevenforums.com/tutorials/69585-safe-mode.html you should be able to overwrite the files as they should not be in use.
I would also unplug whatever midi device you are using while attempting to do this.
If you still get trouble even in http://www.sevenforums.com/tutorials/69585-safe-mode.html I suggest right clicking the file to be replaced, choosing properties and insuring that they are not set to read only.

The reason you are unable to overwrite the old file with the new one is because it's currently in use by the system.

Yeah, i unplugged everything..even my wireless USB mouse. I restarted it in Admin Safe Mode W/O networking. Still i cant ovewrite the files in the System32 folder with the ones the company sent me. I cant change the permissions or anything. I just keep getting access denied. Is there anything else i can try? Anybody? Please, lets make this work.

Try checking them with this application
Download Unlocker 1.9.1 - FileHippo.com
It should tell you why you are unable to remove them and what has them locked down that way.

I am assuming you have full admin on this computer as you stated that was the case.

Yes I did the command prompt trick for Win7 and logged myself in as the Admin. The unlocker shows the paths as locked but i dont see where it gives a reason why. It appears that i dont need to overwite anything..i just need to place the files within the folder..no luck
