It's (IMO) most likely a faulty CPU - although high temps could cause it also.
Could you let the computer cool down and see if it takes longer for it to freeze?
No new memory dumps - which seems to indicate a hardware problem also.

The freezing has stopped again for some reason. I ran the prime95 low-FFT successfully (took about 2h and it said something ...test passed). The temps climbed to 60*C at max and then dropped down and stabilized to 56*C for the rest of the test. Then I ran the high-FFT test and the computer rebooted; no freezing, or BSOD just a spontaneous controlled shutdown (all windows closed nicely etc.).
I've sent the cpu back to the retailer once, but they said it completed all stress test without any problems. I've ordered a thermal paste kit just in case its an overheating issue (I can always send it back if I don't need it). All of my parts still have warranty so if I can point out that the CPU is faulty I will get a new one.

I tested the CPU thoroughly and it failed every time. Turns out that the CPU is actually 6 core version crippled into a 4 core version by AMD and Asus Core-Unlocker might have caused the problem by activating the two crippled cores that didn't make the cut to be a true six core CPU. Disabling the core-unlocker didn't fix the problem for me, so I had to send it back (unfortunately they don't sell the Black Edition version that I had anymore, so I have time find a whole new one). Hope this thread helps someone having the same kind of issues with a AMD CPU.

I realized that the cpu might not be faulty. The initial problems may have been caused by the CoreUnlocker bios utility, which caused the cpu testfail. It is possible that the test fails caused after the CoreUnlocker had been disabled might have been caused by the bios 3027 update (which enables the motherboard to support the new AMD FX generation cpus) is causing the older Phenom II cpu to fail. I'm still waiting for the retailers results on their tests. If they find no flaw on the cpu the problem is in the bios update. In that case if there is someone else struggling with the same problems is a I am (was): DO NOT FLASH YOUR BIOS TO 3027 VERSION, IF YOU ARE STILL USING THE PHENOM, OR OLDER GENERATION CPUS. Hope this helps!
