Hi I have a dell OEM cd i purchased over a year ago on Amazon. The OS seems to be fine but Im not sure. I dont know if this windows is valid. Could I have your opinions please ? I hope that this isnt a virus or something

What gives you cause for concern?
The most likely problem is the fact that this is an Ultimate install and Key - for which version and edition of Windows is your machine licensed, according to the COA sticker in the battery compartment?

I purchased this CD over a year ago. I originally had windows vista on my computer and installed using this CD. When is was done, I was not asked for a product key it was genuine already. The COA is windows Vista on my computer. Where there any signs of a un genuine install from those logs ??

In that case, the installation is counterfeit.

This is because a machine is only licensed for the OS with which it shipped unless a legitimate Upgrade or Retail Full license is installed.
The installed License here is an OEM_SLP one - only valid on machines which originally shipped with Windows 7 Ultimate (and having a Windows 7 Ultimate COA sticker).

The disk which you purchased was a hacked version - and may contain other unsavoury elements of which neither you nor any security software may be aware of.
You should reformat and reinstall using known-genuine media.

I called dell and explained the situation to them. They notified me that with any Dell OEM cd , all I had to do was install windows and the key would already be inside the cd, activating it automatically. I had a another dell computer with a windows vista cd directly from dell and the re installation worked.

Did you tell them that your machine shipped with Vista? - if you did then they need to retrain their operators!
The disks will ONLY work properly with machines which originally shipped with Win 7 installed.

It is NOT LEGAL to sell Recovery media for profit - merely to cover production costs.

yes i told them this. They stated that no matter if it is a dell machine it would already be auto activated. I spoke to several reps and they told me they same thing. I even installed X64 on a computer that came with x32 and i was not asked for a Key. I really don't think that this is a problem.

Windows Keys have never cared whether they are on 32-bit or 64-bit systems - but NO legitimate Windows 7 Recovery disk will install and activate on anything other than a machine from that manufacturer, with the proper BIOS SLIC table The BIOS SLIC table cannot normally be changed once the machine has left the factory - and your machine CANNOT have left the factory with Windows 7 installed, or it would have had a Windows 7 COA sticker on it.

This means that there must be a built-in Activation Exploit on the disk - possibly along with other less wanted stuff. This by definition makes the install non-genuine.

It's the COA sticker that effectively defines whether an OEM computer is genuine or not - and yours most definitely is not.

Dell techs, in common with almost all other OEM techs (and most 1st level MS techs) are totally ignorant of the real rules governing OEM_SLP Licensing - they are reading off a screen that doesn't veer off a certain path.

A machine with a Vista OEM COA sticker can never legally be installed with OEM_SLP Windows 7.

The OEM disk disk is the same size as one I have seen from my friend that he has personally gotten from Dell. I Installed Windows 7 using that disk and it never asked me for the key. I have installed another version 64 to 32 bit from another windows cd that Dell Personally send me. Once again , i was never asked for my key. I have never modified my BIOS etc.

Your Dell computer came with Vista - it therefore should have a Vista SLIC table in the BIOS.
The fact that MGADiag shows a Windows 7 SLIC table means one of two things -
either
1) Dell got sloppy and allowed a BIOS update to be released complete with Win7 SLIC table - which they are prohibited from doing.
or
2) there is an activation Exploit present.

Everything in the thread you linked to reinforces exactly what I've been saying throughout this conversation.

If Dell told you that Win7 would auto-activate on a Vista machine then they most likely told you wrong. It would be the first time we've ever seen that here and we've seen everything. They can't even legally sell a PC with Windows Vista or 7 pre-installed on it unless it has a COA sticker certifying it is Genuine. So if you don't have a Win7 COA sticker then you don't own Win7 on that machine, at least not from Dell.

If Dell continues to maintain that Win7 will work on that PC then they should be willing to ship you a Win7 Reinstallation DVD. If not I'd ask them to send you a Vista Reinstallation DVD and do an install similar to Clean Reinstall - Factory OEM Windows 7 which will make Vista nearly perfect. Dell is the only maker which still ships these clean-copy OS DVD's with only the OS, pre-activation and Dell branding. Is that what you used?
