My computer won't shut down

My computer is new, maybe a month old, It came with Vista Ultimate and I upgraded it to Windows 7 Ultimate. I did not get any errors during the upgrade and i did run windows advisory prior to be sure my system would work with it and there was no issues flagged when i used advisor.
My machine boots normally but when i try to shut it down it stays on and normally I have to hold the power button on it to shut it off. I shut it down on 4/14/2010 and waited to see if I left it would it shut down after time. I waited almost 45 minutes when the machine rebooted itself on its own and on restart gave me a BSOD recovery message.
I copried the entire message and saves it using notepad and copied the minidump file and zipped the whole thing together and attached it here in hopes someone here could help me figure out whats wrong.
My system was made by Digital Storm and is a 64 bit machine. The specs are listed below
Intel Core i7 960 3.2Ghz (Quad core) overclocked to 3.8
EVGA X58 3x SLI motherboard
6gb DDR3 1600MHz Ram
1250w Enermax Galaxy EVO Power supply
Western Digial 1TB hard drive (SATA)
ATI Radeon HD5870 Video card with 1GB memory

This one was caused by ctaud2k.sys (creative) driver. I would un-install and install a fresh copy. I would also stop overclocking.

Thank you so much for not only such a quick response but it seems you corrected the issue. As soon as i uninstalled the sound card files and went to the creative site and re installed them the machine started running normally.
I will take your advice and turn off the over clocking also.
