Need help with BSOD

Hi guys I need a help with debuging and find out what's wrong with my PC. I keep getting random BSOD quite often but not on a regular time schedule (once an hour).

My PC spec is:
Core 2 Duo 2.4 GHz
MB: MSI P35 Neo-F
VIDEO: nvidia GTX470
RAM: 5GB DDR2

I was running Windows 7 32-bit when this occured out of the blue the only new thing I installed before this occured was a driver for my mobile phone so logicaly I assumed there is something wrong with it and unistalled it. But it didn't help at all.

I decided to reinstall the OS but this time Windows 7 x64 that's the system I'm running on currently. But BSOD still happen also on the fresh install. With all drivers up to date.

So my next step was looking up for hardware errors. I tried to run memtest84 but found no errors. I removed my RAM from slots one by one, changed their slots completly with no success. I still have my old graphic card which is nvidia 8600GTS so i tried to replace but nothing changed. I unplugged everything I don't need from the motherboard and left only graphic card there, still no change.

I was monitoring the PC temp, and voltage with speedfan and everything is OK.

I'm in a phase when I think it's a motherboard or processor error but still not sure which one of them.

I need to clarify this with you guys if you thinks the same so I will not throw money out of the window for a new motherboard and processor and it will not help me.

There is a little hope inside of me that maybe there is still chance to get it back working at least for sometime.

Well you may be on the right track. Your showing the WHEA error in the debugs which is often a sign of a failing hardware component or a overclock that isn't agreeing with the system.
I'd be much quicker to blame the hardware.
Are you sure you have the latest motherboard drivers from MSI?

The MB driver is new there is nothing newer to download.

I've just tried to reinstall it again. And now I even can't get to install the driver it crashes almost inmediately after it starts the windows. Even in safe mode. Seems like I'm screwed with this one :(.

Funny thing is that the installation itself didn't crash and it was able to get to the very end of it.

Well the only hardware component that's easy to test is the ram.

It's seems unlikely the cpu is dead I've only had to replace a handful of them in my entire time with computers because they actually died. In pretty much all instances the thermal paste hadn't been applied to them properly. ...and they cooked to death.
Might want to look at power supply as well.
They start to burn out after a few years of good use.

I'm going to try today to change the MB and cpu completly. I'll put there a friends MB with his CPU and replace everything else with my own stuff (RAMs, graphic card). This way It should be clear if it's the MB and CPU or the power supply.

Although I'm pretty sure here that the power supply should be OK. I was testing the voltage with speedfan.

RAMs are OK too I left memtest running during the night and no errors. Again with no system runing the PC is quite stable it didn't crash durring the memtest. But it crashes also in the linux OS when I tried to boot a liveCD Ubuntu.

I'll post the results of changing the MB.

With another MB and processor everything is working. Guess I have to invest a bit into these things.

Strange really I had a neo board and it was a decent one... not great but decent. Anyhow glad you got sorted.
