It appears your HDD may be failing.

Code:
NTFS_FILE_SYSTEM (24)
If you see NtfsExceptionFilter on the stack then the 2nd and 3rd
parameters are the exception record and context record. Do a .cxr
on the 3rd parameter and then kb to obtain a more informative stack
    trace.
Arguments:
Arg1: 00000000001904fb
Arg2: fffff880032a6268
Arg3: fffff880032a5ac0
Arg4: fffffa8007d3ad66

Scannow also says everything is fine... does it help to mention that the computer is very stable when running. just intermittently fails to boot?

That looks good. It was just speculation on my part. I back Gav's assessment of the possible failing hardware.

To be completely sure about your RAM issue follow the info below.

Download and run MemTest86+ to test your RAM. http://www.sevenforums.com/tutorials/105647-ram-test-memtest86.html

   Note
picture.php

Run MemTest86+ for at least 8 passes. Ideally set it off before you go to bed and leave it overnight, we're looking for zero errors here. A single error will show something's going bad with your RAM.
