I just checked and thought about it a little more and it also seems that NDIS is used with your Network NIC card. Have you recently upgraded software drivers or hardware?
I'd try uninstalling the NIC in the device manager and reboot and see if Win7 fixes it or is it the same.

More 2 cents.

ndis.sys is a network driver, just like Iggy said above. Try updating them in Device Manager, or look online at the computer manufacture's site for an update.
