Solved Sharing B/w Windows XP and Windows 7 via Single Wifi-Modem

and you are sure those files/dirs are shared... the dir has a icon with a 'hand that hands it out..

This sure sounds like an XP Firewall problem, not allowing inbound file sharing connections. My XP Firewall Exceptions tab looks like this:
