I upgrade my Vista OEM laptop a few months back to Windows 7 Home Premium using Windows 7 Home Premium upgrade edition, and would like to know if its possible to transfer that upgrade to my WinXP OEM desktop? Does the OEM editions of Windows affect the ability for a license transfer?
Depending on how strict Microsoft are with the EULA of the upgrade it may not be legal within the EULA to transfer the licence in this case.
The problem is that the upgrade takes on the EULA of the upgraded install and therefore in this case would be an OEM copy of win7 which is not transferable.
It is likely that the new install will fail automatic validation and will need to be manually validated by a Microsoft Agent. They may or may not allow this upgrade.
If the cause of this upgrade was a major hardware failure then it is more likely that the transfer would be allowed, but a basic change of mind is not certain to be accepted

When using the retail upgrade on the original Vista OEM system the licence of the upgrade took on the restrictions of the original vista licence, this in effect makes the win7 install into win7 Home Premium OEM, which would not be transferable to the XP system.
this is one of a few parts of the Upgrade system which is open to interpretation and I'm not sure how Microsoft would treat this

My parents are using the desktop with Windows XP and I thought it would be of good use to upgrade it to Windows 7 since I'm buying a new laptop. They would never spend the money to buy Windows 7. I've tried explaining to them that WinXP is far old and Microsoft is really no longer supporting it as seen with the new IE9.
You can migrate full or upgrade version retail Win7 to any computer of your choice, as long as it isn't retail OEM version and there is a qualifying XP or Vista OEM or retail license underlying - though it doesn't have to be installed. Clean Install with a Upgrade Windows 7 Version
You might want to start with a Dual Boot to compare the OS's and more gradually migrate from XP to Win7. Since Win7 will configure the Dual Boot menu when installed on it's own partition (created by shrinking XP partition) this is very little trouble to install although we will have to help you later if you want to remove XP.
