If you buy an upgrade disc, you will be in violation of the EULA. You should buy the full retail version, sorry.

Bibbster. Welcome to SevenForums, Have a look at this web page and the two snips I have included. From looking at this. I am just a little confused as to what would be legal and what would not be. Up to you to decide. Good luck to you. Windows 7 Upgrade Considerations

Rich, myzr7, I think that the 2nd snip is the key. You are not violating the EULA if you own a previous version of XP or Vista, no matter which. You can't do an upgrade, just a clean install, going from any version besides Vista Business to Professional.

But as long as you own the previous version, you should be OK. Take a look at this blog at MSDN, it is pretty good.

What you are not allowed to do is to do a clean install (which is possible whether you have a previous version or not) with an Upgrade disc if you don't own a previous version. In this case you would be violating the EULA.

Is the issue that you are running a current version of Win7 or Vista that you want to Upgrade and the Upgrade Advisor said you cannot upgrade from that version, or that you cannot Upgrade with your hardware config?

Just to clarify:

Short answer: you're fine.

Vista Home Premium may only be upgraded-in-place to Win7 Home Premium or Ultimate:

However, if you're willing to do a custom (clean) install, Vista Home Premium qualifies for the use of a Win7 Pro upgrade license.

I suggest having a look at:

Clean install with Windows 7 upgrade media? Get the facts! | Ed Bott’s Microsoft Report | ZDNet.com

The Win7 upgrade version turned out to be less restrictive than I'd been led to expect. For example: with a qualifying OS on the PC, I was able to boot from the install media (bootable USB drive, prepared from the .iso I downloaded from the Microsoft Store), format the OS partition, and install Win7.

Bibbster, as you own a valid Vista license, the answer is Yes.
