Win 7 pro 64bit into XP 32 Bit

I have two OEM disks, one each of" Win 7 Ultimate32 bit" and "Win 7 Professional 64 bit". I cannot use any of these as a boot disk because the installation stops just before "Windows Loading Temporary Files" text appears. I can start each of them by using WE and clicking on the setup file.
My computer has an AMD Athlon Dual Core 64 X2 processor and it has 4 MG RAM running WXP 32 bit with SP3. When I click on the setup file in the W7 Pro 64 bit disk I am reminded that I the W7 Pro 64 bit disk is not a valid Win 32 application. I suppose this might be because I am trying to install a 64bit disk on a system that is curerntly running a 32 bit OS. These two sets of installation files are on a internal HD. Not the system drive.

With these files available like they are, what is the best way to intall
1. First choice--------W7 Pro 64 bit
2. Second choice---- W7 Ultimate 32 bit

Your first problem from the start is apparently trying to run the 7 installer while booted in the older version(XP) to perform an upgrade install. Since OEM disks are typically full install disks intended for system builders you would boot from the intended 7 dbd in order to perform a clean install to replace XP entirely.

The 32bit Ultimate is the only one that will support an upgrade from XP while a totally fresh install of 7 on a reformatted drive would serve to see the best results. Before going with the 64bit Pro however you may want to look up that model system at HP for at least 64bit Vista updates available since those will often work for the 64bit 7 as well.

One old XP build to see the 32bit Home Premium go on lacks any 64bit Vista updates only allowing for the 32bit Windows on the older AMD Socket 939 board that saw. Vista 32bit updates only there.

As for memory having 4gb not mb installed shouldn't pose a problem for either 7 edition. Initially problems were seen for the 64bit Vista with over 2-3gg of memory installed with the previous version.
