windows 7 ultimate 64-bit in which computer should I install?

My current computer is too slow for me and I want to upgrade it.
My current computer specs.

socket: 478
CPU: Intel Pentium Prescott 4, 3.00GHz, L2 Cache 1024 KBytes
Motherboard: ASRock P4i65G
Memory: 2GB DDR 400Mhz
Chipset: i865G
Graphic: Nvidia Geforce FX5200 128MB

My cousin brought me two HP computers And I want to install windows 7 64-bit in one of them,
the first computer is HP DX2000, spec.

I'm considering to install windows 7 64-bit, because of memory size, I know 32-bit version can not work with this memory size,
Therefore I want to know what your recommendation on this subject, in which PC I can install the windows 7 64-bit that will work smoothly with no problems?

You appear to be misinformed. Windows 32-bit will work fine with 4 GB of memory. It just won't be able to use all of that 4 GB--only about 3.3 GB.

I think those 2 CPUs are quite close to each other in an overall benchmark.

All fans PWM; speeds at idle: CPU circa 500 rpm; intake circa 600 rpm; exhaust circa 600 rpm; CPU temps 27 idle and 47 C load in a warm room (27 C/81 F) when running Intel Extreme Tuning Utility stress test.
On glance i would chose the second one however stick with ignatzatsonic advice and use the upgrade adviser.

I would go with the Athlon 64 3500+ and do a "safe" overclock - should do around 2.6GHz with a Manchester core and if the mobo allows it. The 4GB of RAM will be just fine. The XPRESS X200 is about the same as the NVidia FX5200 so no benefit swapping it out.

My "old games" box / Linux test box has a 3500+ on a Gigabyte board running at 2.66GHz, rock stable.
