Lock ups and BSODs dxgkrnl.sys NDProxy.SYS

Hi all, been getting lock ups and BSODs on win XP for a while and presumed it just needed reinstalling as it was several years old, however I took the oportunity to move to W7 (fresh install not upgrade) and I'm still having problems.

It will either lock up or BSOD at random, it has happend while doing not much at all, just browsing or viewing images in image viewer or while encoding h264 video. I keep temperatures in check so it can't be heat related.

This hardware and overclock has been stable for 3 years previous to these problems.

BIOS and drivers are up to date as far as I can tell (latest from motherboard and graphics card website). RAM has also passed 6 passes of memtest.

Attatched are the logs from SF Diagnostic Tool containing two crash dumps, any help much appreciated, I use the PC a lot and this is a real pain now so need to get resolved.

OK no problem, I will find a time and run it but I have to ask what will 8 runs acheive that 6 runs hasn't already?

Honestly I feel the RAM is solid, I didn't mention but I have run it below rated and still got lockups and BSODs.

A single pass of MemTest86+ runs 9 different tests, sequentially. Each pass randomly selects a different dataset to execute the tests. Memory errors are often dependant on the exact bits written to memory, so some errors only occur with specific datasets. For this reason, multiple passes must be run to thoroughly test memory. Experience suggests that 8 passes is a good minimum number of passes to run.
