System Lock-up (Possible Kernel Error - Event 41)

I have a repeatable meltdown that I am hoping someone can help me solve. No apparent problems during boot, but within 5 - 10 minutes the system locks (hard drive LED remains illuminated). Whatever program I have open, shows (not responding)...I can still move the mouse, but cannot select anything. After a few minutes, screen goes black and attempts to reboot, but locks at startup screen.

Troubleshooting:
Repair disk finds no problems. Suggests that I must have recently installed a driver that is causing an issue--I have not;
System still locks in safe mode, or when booted from DVD;
Have (2x2gb) of PC3 12800 RAM, running either by itself in the first slot, still experience lock up.
With ASUS M4A785TD-V EVO uninstalled graphics card...and using onboard graphics, still locks;
PSU is new running 700W. Unpluged all HD's and graphics card, still locks;
Not sure if related, but after problem started, lost ability to connect to internet;
Event Viewer has multiple kernel errors-event 41. I've tried searching for this fault, but have not found an applicable fix;
Installed a new MSI motherboard and problem is identical;
Get error messages when I right click computer icon and attempt to select Properties...same with NotePad;
Thought it could be my SSD, but it still fails when booted from W7 Ultimate DVD.

Not sure what else to try, except installing a new CPU? I have a X4 955 BE that is less than a year old. Not oc'd...Corsair water cooled (so I would avoid problems!). Have racked my novice brain for nearly 3 weeks, and if not for my iPad, my hair would be gone!:mad:

Did my best to attach requested files with computer crashing every 3 mins. No luck running <perfmon /report> command--consistent error message (could not find needed file). Zipped what I had, hope it is enough to give someone the information needed to troubleshoot my problem. Thanks in advance!

Did leave computer locked for a couple hours and when I returned had achieved a BSOD. For what it's worth, it gave me the following error: STOP:0x000000F4 (0x0000000000000003, 0xFFFFFA80045F5B30, 0xFFFFFA80045F5E10, 0xFFFFF800031CBF40)

Did another attempt with the repair disks and it said that I had a corrupt or missing MBR. So I sucessfully ran the bootrec.exe command and ran the repair again...this time it performed a partition table repair. Another reboot, and still locks!

Next I again boot from the repair CD, and decided to try a system image recovery from 3 months ago...well that failed
"recovery volume can not be opened for I/O for recovery" (0x8078002D).

If you ask me, these sporatic system meltdowns happen way too often, and cost too much time & $ to fix. I provided all the clues I know how to uncover...someone toss me a bone...something. Suppose I can always do the reformat and reload...for the third time in 2011! Some help please. Thx.

With no theories coming forth after a week, I need to count my losses and reformat. This error will surely happen again in a month or two...maybe by then the fix will be more understood.
