Probably fake.

Microsoft does not send unsolicited emails. My advice to you would be to ignore the message, and add the sender to your junk mail filder.

But just to be sure, can you take a screenshot of the message and post it here so we can confirm?

Never heard of MS sending mails. Would help if you provide details of the mail. Also what kind of upgrade- regular or Anytime?

The header information would also be useful. Just remember to blank out your email and IP addresses.
