upgrading from 32bit to 64bit (OEM to Retail)

If I have a Windows 7 Home Basic 32bit OEM installed and I and to upgrade to Windows 7 Home Basic "64bit" (Retail version Downloaded from internet) can I use my OEM product key to activate the retail one on the same computer with no hardware modifications?

Hmmmm...............look at the chart halfway down this link:

where it says, next to "64-bit version available?", under the Home Basic column, "Yes, but not in retail SKUs".

That makes me wonder about the validity of what you have downloaded.

I believe the answer to your question is no.

It is perfectly possible to install Home Basic 64-bit using a Retail disk, and activate it using the Key from your 32-bit install.
ALL windows 7 Keys are valid for both 64-bit and 32-bit installs of their assigned edition - but only one at a time!
