Maybe this sound stupid but try to connect a "microphone".. and be sure to enable it in windows so it works..
(Maybe u have an headset with one on it?) This game is known to crash without connecting one

Right click on the .exe file and click compatibility, then select xp sp 3 and run it. Works fine on my 64bit version.

As suggested try compatability mode.
Not sure what the issue may be, but I had no problems with CoD2 (retail disc) on my x64 system.
