I'm going to replace it with a new Asus that is the same as the old one so I can use all
my old stuff on the new one.I have 2 500gb hdd's .1 has windows 7 32 bit installed & the other has windows 7 64 bit. When I install the new MB can I use these hdd's as is or will
I have to format & reinstall windows?
Thanks for any info

You don't have to format or reinstall windows when you change hardware. When you boot Windows will detect it and make the necessary adjustments (if any).

But if the two HDDs were in a raid matrix, well, you're going to have to set the parameters again.

You won't need to re-install Windows.

There's a chance that you will have to activate Windows again, though. The address of the onboard network controller (I assume that you have one) will change, and that's one of the most significant changes that can trigger activation.

I think you should be OK with that, even if your licenses are for OEM versions. You may have to activate by phone, though.
